Bylaws

Article I - Organization
1. This organization shall be a non-profit, 501(c)(3) corporation in the state of Ohio.
2. The name of the organization shall be:

Strongsville Booster Club
(aka Strongsville Athletic Booster Club)

Article II - Purpose
The Strongsville Booster Club exists for the purpose of broadening the involvement of students, student families, the school, and community members through support for all male and female activities which are board approved and recognized as part of the interscholastic athletic program offered by the Strongsville City Schools. The Strongsville Booster Club works to achieve this purpose through active participation by as many parents, community members and any other persons as possible in booster club programs, events, fundraisers, volunteer opportunities, meetings and any other activities. The
Strongsville Booster Club will work closely with the school administration, athletic director and varsity coaches to identify needs the club will be asked to fill.
? To raise funds to assist all athletic programs.
? All monies raised will be used to cover team and athletic department expenses based on this agreed upon plan:
1. Requests will be considered monthly
2. Coaches will submit requests to the athletic director
3. Athletic director will be responsible for vetting and prioritizing all requests
4. Athletic director will present requests at monthly booster club executive committee meeting
5. Booster club executive board will vote on requests; the executive board may decide to fund all or part of the request, or deny the request
? A budget will be established and approved annually.
? To support, promote, and maintain a high standard of integrity and good sportsmanship in all athletic activities sponsored by Strongsville City Schools.
? To foster and promote goodwill and relationships among members.
? To promote and encourage attendance at all events sponsored by Strongsville City Schools.
? Be a source of volunteer support for the athletic department.

Article III - Membership

Section I
Parents, friends, coaches, faculty, staff, community members, alumni and any other person interested in supporting the Strongsville City School’s athletic program shall be eligible for membership in the association.

Section II
There will be yearly membership dues of $25.00 per person for regular active members. Dues shall be payable at the beginning of each school year. Dues may be increased or decreased by the Booster Club Executive Committee.

Section III
Special membership rates may be established annually by the Booster Club Executive Committee.  Different giving levels will be established annually and associated benefits for each level will be determined prior to the membership drive beginning in August.

Section IV
The high school athletic director shall automatically be considered an ex-officio member of the booster club and shall be a non-voting member of the Booster Club executive committee.

Article IV - Officer Elections
Section I
The officers of the Strongsville Booster Club shall consist of the President, Vice-President, Treasurer, Secretary and Committee Chairman. The officers will also make up the executive committee of the Strongsville Booster Club. In addition, the president of the club may appoint additional officers from time to time.

Section II
Election of officers shall take place at the regularly held monthly membership meeting in May of each year. The slate of officers should be presented and voted on by the membership at the April meeting of each year. The proposed slate shall be nominated by the booster club membership. More than one
person may be nominated for each position. The full, proposed slate must be presented and voted upon to the entire membership at the annual election meeting.

Section III
Term: Officers shall serve for two years and may not be elected to consecutive terms.
Exception: The term limit bylaw may be waived in the case that a person has not been nominated for an officer position and the current office holder is willing to serve another term.

Section IV
Eligibility- Only members in good standing that have paid their dues in full, and have attended a minimum of three meetings during the year shall be eligible to hold office or vote in elections, unless this provision is waived upon a majority vote of the current executive committee.

Section V
Voting- Voting shall be by a secret ballot at the Election Meeting. There shall be an election committee
made up of three people to be appointed by the President of the Association.
The duty of the election committee shall be to pass out the ballots, collect the ballots, count the votes,
and report the results of the vote. In the event there is more than one person nominated for any office, then whoever wins the majority of votes cast shall be deemed the winner of the election. In the event there is only one person nominated for any office, the person shall be eligible for immediate
appointment. Lastly the President, with consent of the membership, may forego the secret ballot process and call for election by voice vote if the President deems that the electors are clearly in favor of such procedure.

Section VI
Installation- The newly elected officers will be installed to their new officer position immediately following the conclusion of the booster club fiscal year.

Section VII
Vacancies- In the case of a vacancy of any officer position during the booster club year, the executive committee may appoint any booster club member to fill the term of the vacant officer position for the remainder of the term.

Section VIII
Booster Club Calendar - The booster club shall hold a regular membership meeting 10 times per year.
The meeting calendar will be adopted and approved at the first regularly scheduled membership meeting. Additionally, the executive committee shall meet no sooner than one week and no later than one hour prior to the regularly scheduled monthly membership meeting. Additional meetings may be
called throughout the year. Meeting dates may change and at least 14 day’s notice will be given prior to any change in meeting dates. The fiscal year of the booster club shall run July 1 - June 30.

Article V - Finances
Section I
All funds accumulated by the Strongsville Booster Club will be used to execute the purpose of the association as outlined in Article I of these bylaws. All expenditures shall be dispersed by Treasurer after approval from the booster club executive committee.

Section II
The president of the booster club shall have the authority to authorize miscellaneous expenditures up to $250 without prior approval of the executive committee.

Section III
The booster club will carry over a balance of no less than $5000 from one fiscal year to the next.

Section IV
The association is organized as a 501(c)(3) non-profit under the Internal Revenue Service code and no member or officer shall have any ownership of any part of the booster club or the assets. In the event of dissolution of the association all funds and/or property shall be turned over to the Strongsville City School district. In the case of district changes, consolidation, etc, all funds will be turned over to the Strongsville City School District’s successor.

Section V
The treasurer of the booster club shall draft an annual budget to be presented at the first meeting of the year in August and voted upon by the membership for approval.

Article VI- Amendments
Section I
Any part of these bylaws may be amended at the annual election meeting. Amendments must be voted upon and approved by the membership.
Exception: The executive committee, by majority vote, may submit a proposed amendment to the bylaws to the membership at a regularly scheduled meeting in the case of an emergency.

Section II
However, notice of the terms of any proposed amendments to the bylaws (code of regulations) and the date the vote shall take place must be given to the membership at least thirty (30) days prior to any such
vote, which time may be reduced to seven (7) days only in the event of an emergency proposal.
